Forming a US LLC as a non-resident: state, EIN without an SSN, bank and registered agent
Mainstay Filing: $199 a year includes formation, the registered agent and the annual report, and the EIN for a founder with no SSN or ITIN adds a one-time $99 (faxed Form SS-4). State fees are passed through at cost.
- Pick the state. The filing fee runs $35 to $500 and 6 states have no LLC annual report. Where you sell and any state taxes matter more than the filing fee; see choosing a state.
- Appoint a registered agent. You need a street address in that state during business hours, which is why non-residents use a service. Details.
- Get the EIN. No SSN or ITIN means a paper route. How it works and what it costs.
- Open a bank account. Banks set their own rules. What the registered agent address is not.
Mainstay Filing does not file DBAs and offers no mail forwarding or virtual office; plan your mailing address separately. This is not tax advice: a foreign-owned US LLC can have IRS information returns (such as Form 5472) to file, so speak to a US tax adviser.
